Name and Center:
Article1– Name of the Federation; It is the "Federation of Developers". Its short name is “TÜYAFED”. Its center is Istanbul. It can open a representative office in the country and abroad.

Topics and Forms of Study to be Continued by the Federation
1- To seek solutions to the economic, social and technical problems of the IT and Software Sector,
2- To support research-development and technical production efforts to increase the product quality and efficiency of the IT and Software sector,

13- To encourage the studies of scientific, vocational education and training institutions and similar organizations in these fields with all kinds of help and support, and to lead the way in benefiting from the results of research,
14- Establishing units such as R&D laboratories to conduct scientific research at home and abroad, or to support initiatives in this direction by contributing,
15- Obtaining domestic and foreign statistical information and data about the sector and all sub-sectors and announcing it to its members, storing information on these issues and creating systematic information archives,

Field of Activity of the Federation
The Federation operates in the fields of Software, Information and Technology.
Becoming a Member
Article 3 – The principles regarding the members are as follows:
Associations that have the same founding purpose as the member associations of the Federation, have gained legal personality, and adopt the objectives of the Federation as stated in the second article above, as well as the fields of activity, work and forms, can become members.
A written membership application to the federation's board of directors is decided by the federation board of directors as acceptance or rejection of the request within a maximum of 30 days, and the result is notified to the related association in writing. If the membership request of the candidate association is rejected by the board of directors, the general assembly makes the final decision in case of objection.
Associations that have made significant contributions to the Federation may be accepted as honorary members by the decision of the General Assembly. Honorary members do not have the right to elect and be elected. They can donate if they want.
Associations that are members of the Federation protect their legal personality and assets. The federation cannot make any claims on the properties of member associations.
Unsubscribe
Article 4- Each member association has the right to leave the federation, provided that it notifies them in writing.
As soon as the resignation petition of the member association reaches the board of directors, the exit procedures are deemed to have been concluded with the decision of the board of directors. Resignation from membership does not end the accumulated debts of the member association to the federation.
Unsubscribe
Article 5- Circumstances that require expulsion from membership of the Federation.
1- To act in violation of the federation statute,
2- Constantly avoiding the assigned tasks,
3- Failure to pay the accumulated membership fee within two months despite a written warning,
4- Not complying with the decisions made by the federation bodies.
5- To have lost the conditions of being a member,
In case of detection of one of the above-mentioned situations, he is removed from membership with the decision of the board of directors.
Those who leave or are removed from the federation are deleted from the member registry and cannot claim any rights in the federation's assets. Those who have been expelled from membership have the right to object to the general assembly. The decision of the general assembly is final.

In order for the federation to carry out its activities more effectively, in addition to the obligatory ones in accordance with the above-mentioned law, the following bodies have also been established:

The Federation may also establish different organs and committees according to the need, with the regulation to be issued in accordance with the law and statute.
Establishment and Meeting Time of the Federation General Assembly:
Form of establishment
Article 7- The General Assembly is the most authorized decision-making body of the federation; It consists of delegates elected by the federation's administrative and supervisory board and the board of directors of the member associations of the federation.
Gathering Time
Article 8- The General Assembly convenes every three years in October on the day, place and time to be determined by the Board of Directors. Apart from the ordinary meeting, the general assembly convenes extraordinarily when deemed necessary by the board of directors and supervisor, or upon the written request of one-fifth of the delegates. The general assembly is called to the meeting by the board of directors. If the board of directors does not convene the general assembly within a month upon the written request of the supervisory board or one-fifth of the delegates, the supervisory board or the local magistrate, upon the application of one of the members requesting the meeting, hold a hearing and assign a committee of three among the members of the federation to convene the general assembly.

Each association is represented by 7 delegates in the Federation. Once elected to the federation's administrative and supervisory board, those in charge of the management and supervisory board of the associations may continue their duties in the association provided that they do not hinder the federation service. Otherwise, they have to resign from their duties in the association.
Each delegate has one vote at the general assembly. The delegate uses the game himself.
Call Procedure
Article 9-The Board of Directors arranges the list of members registered to the federation. Members to attend the general assembly are invited to the meeting at least fifteen days in advance, by announcing the day, time, place and agenda in a newspaper or by notifying them in writing or by e-mail. In this call, if the meeting cannot be held due to the lack of quorum, the day, time and place of the second meeting is also specified. The period between the first meeting and the second meeting cannot be less than seven days or more than sixty days.
If the meeting is postponed for any reason other than the lack of quorum, this situation is announced to the members in accordance with the call procedure for the first meeting, including the reasons for the postponement. The second meeting must be held within six months at the latest from the date of adjournment. Members are called back to the second meeting in accordance with the principles specified in the first paragraph.
The general assembly meeting cannot be postponed more than once.
Meeting place
Article 10- General assembly meetings are held at the location of the Federation Headquarters or at another place deemed appropriate by the board of directors.
Meeting quorum:
Article 11- The General Assembly, with the absolute majority of its members who have the right to join the federation; In the event of a bylaw change and the termination of the federation, it convenes with the participation of 2/3 of the members. However, the number of members attending this second meeting cannot be less than the total number of members of the federation's administrative and supervisory boards.
Meeting Procedure
Article 12- The General Assembly convenes with the participation of the absolute majority of the members who have the right to attend, and two-thirds of the members in the case of a bylaw change or the termination of the federation; In case the meeting is postponed due to lack of majority, majority is not sought in the second meeting. However, the number of members attending this meeting cannot be less than the full number of members of the board of directors and supervisory board.
The list of members entitled to attend the general assembly is made available at the meeting place. Identity documents issued by the official authorities of the members who will enter the meeting place are checked by the members of the board of directors or the officials to be appointed by the board of directors. Members enter the meeting place by signing against their names on the list prepared by the board of directors.
If the meeting quorum is met, the situation is determined in a minute and the meeting is opened by the chairman of the board of directors or one of the board members to be assigned. If the meeting quorum is not met, a minute is drawn up by the board of directors.
After the opening, a chairman and a sufficient number of vice-chairmen and a secretary are elected to manage the meeting, and a council committee is formed.
In the voting to be held for the election of the federation organs, the voting members are required to show their IDs to the council committee and sign opposite their names on the list of attendees.
The management and security of the meeting belongs to the chairman of the council.
In the general assembly, only the items on the agenda are discussed. However, it is obligatory to include on the agenda the issues that are requested to be discussed in writing by one-tenth of the members present at the meeting.
Each member has one vote at the general assembly; The member has to use the game personally. Honorary members may attend general meetings but can not vote.
The topics discussed and the decisions taken at the meeting are recorded in a minute and signed by the chairman of the council and the clerks. At the end of the meeting, the minutes and other documents are delivered to the chairman of the board of directors. The chairman of the board of directors is responsible for preserving these documents and delivering them to the newly elected board of directors within seven days.
Topics to be discussed at the meeting:
Article 13- Only the items on the agenda are discussed at the general assembly meeting.
However, it is obligatory to include on the agenda the issues that are requested to be discussed by at least one-tenth of the members present at the meeting.
Duties, Authorities, Voting and Decision-Making Procedures and Forms of the General Assembly
Duties and powers of the general assembly:
Article 14- The following written matters are discussed and resolved by the general assembly.
1- Election of federation bodies,
2- Changing the federation statute,
3- Discussion of the reports of the board of directors and supervisory board and release of the board of directors,
4- Discussing the budget prepared by the board of directors and accepting it as it is or by changing it,
5- Purchase of immovable property required for the Federation or existing immovable property Authorizing the board of directors to sell the
6- Examining and approving the regulations to be prepared by the Board of Directors regarding the activities of the federation, as it is or by changing it,
7- Determining the wages to be given to the chairman and members of the federation's management and supervisory boards who are not public officials, as well as all kinds of allowances, travel allowances and compensations, and the daily and travel allowance amounts to be given to the members to be assigned for the services of the association,
8- Deciding the federation to join and leave the confederation,
9- Termination of the Federation,
10- Examining and deciding on other suggestions of the board of directors,
11- Fulfilling other duties specified in the legislation by the general assembly,
The General Assembly supervises the other organs of the federation and can dismiss them at any time for justified reasons.
The general assembly makes the final decision on admission to membership and removal from membership. As the most authoritative body of the federation, it performs the tasks and uses the powers that have not been given to another body of the federation.
Voting and decision making procedures and forms:
Article 15- General assembly resolutions are made by the absolute majority of the members attending the meeting; Decisions on the amendment of the statute and the dissolution of the federation are taken only by the 2/3 majority of the members attending the meeting. Votes are determined secretly or openly. Secret ballots are the votes that are collected by adding the papers or ballot papers sealed by the board of directors to a sealed or empty container after the necessary actions are taken, and are determined by making an open list after the end of the voting. In open voting, the method specified by the chairman of the general assembly is applied. The candidate or proposal that receives one more than half of the valid votes wins or is decided.
Duties and Authorities of the Management and Supervisory Boards, How they will be elected, Number of Full and Alternate Members
Board of Directors
Article 16- The board of directors is elected by the general assembly as 9 principal and 9 substitute members.
The board of directors determines the chairman, vice chairman, secretary, treasurer and members by making a decision at the first meeting after the election.
The board of directors can be called to a meeting at any time, provided that all members are notified. It convenes with the presence of one more than half of the total number of members. Decisions are taken by the absolute majority of the total number of members attending the meeting. The same person cannot be the chairman of the federation board of directors for more than three consecutive terms.
If there is a vacancy in the original membership of the board of directors due to resignation or other reasons, it is obligatory to call the substitute members for duty in the order of the majority of the votes they received in the general assembly.
Duties and Authorities of the Board of Directors
The board of directors fulfills the following:
1- To represent the Federation or to authorize one or more of its own members in this regard,
2- To make the transactions related to income and expense accounts and to prepare the budget for the next period and present it to the general assembly,
3- Preparing the regulations regarding the activities of the Federation and submitting them to the approval of the general assembly.
4- Purchasing immovable property, selling movable and immovable properties belonging to the association, having a building or facility constructed, making a lease agreement, establishing a pledge, mortgage or real rights in favor of the association, with the authorization given by the general assembly,
5- Ensuring the opening of representative offices where deemed necessary,
6- To implement the decisions taken in the general assembly,
7- At the end of each operating year, to prepare the business account statement or balance sheet and income statement of the association and the report explaining the work of the board of directors, to present it to the general assembly when convened,
8- Ensuring the implementation of the budget,
9- To decide on the admission or expulsion of members from the Federation.
10- To take and implement all kinds of decisions in order to realize the purpose of the Federation,
11- To perform other duties given to him by the legislation and to use the authorities,
12- Establishing temporary or permanent working branches or ending the work of these branches in order to realize the objectives of the Federation.
Failure to Complete the Board of Directors with Alternate Members
Article: 17 – If the number of members of the board of directors falls below half of the total number of members after the replacements are brought in due to vacancies, the general assembly is called for a meeting within one month by the current members of the board of directors or the supervisory board. If the call is not made, upon the request of one of the members, the magistrate assigns three members to call the general assembly for a meeting.
Supervisory Board
Article 18 – The supervisory board is elected by the general assembly, with 3 principal and 3 substitute members.
Duties of the Supervisory Board:
To examine and audit all the accounts and transactions of the federation, the transactions and activities of the board of directors, and the financial situation of the federation, at least once every 12 months and at uncertain times.
To present the reports to be prepared as a result of the audit to the board of directors and the annual reports to be prepared before the general assembly meeting to the general assembly.
To call the general assembly meeting when necessary.
Federation Assembly
Article 19 – Federation assembly; current federation principal and substitute board members It consists of members of the board of directors of the member associations. In addition, all federation presidents and vice presidents who have served since the establishment of the federation are natural members of the federation assembly. The chairman of the federation council is elected by the members of the federation council at the first meeting of the federation council from among the president and vice presidents who have served in the federation before. The Federation Council and other bodies to be formed meet every 6 months at a designated venue or online. The Federation convenes extraordinarily upon the call of the Board of Directors and the chairman or upon the request of one-fifth of the members. The meeting agenda is determined by the chairman of the council in line with the suggestions of the board of directors and the management of the association. At the meeting, the work during the term is evaluated and the work to be done in the future is determined. It takes its decisions by majority vote. Recommendations to be taken on matters other than termination and amendment of the statute shall be fulfilled first.
Borrowing Procedures of the Federation
Article 21- In order to realize the purpose of the Federation and to carry out its activities, if needed, it may borrow with the decision of the General Assembly. This borrowing can be done in the purchase of goods and services on credit as well as in cash. However, this borrowing cannot be made in amounts that cannot be met by the income sources of the Federation and in a way that will cause the Federation to insolvency.
How to Determine the Entry and Annual Fee Amount to be Paid by Members
Article 22- The amount of entrance and annual fee to be paid by the members is determined by the general assembly.
Federation Revenues
Article 23- Sources of income of the Federation
1. Membership fee and entrance fee
2. Revenues from activities such as publications made by the Federation, lottery, balls, entertainment, performances, concerts, sports competitions and conferences.
3. Income from the assets of the Federation
4. Donations and donations
5. Consists of donations and aids to be collected in accordance with the provisions of the legislation on aid collection.
Provided that they notify the federal administrative authority in advance, they can receive in-kind and cash assistance from persons, institutions and organizations abroad. It is obligatory to receive cash aids through banks.
Annual dues: It is the mandatory fee that each member association will pay each year for each of the General Assembly participants throughout the duration of their membership. Member associations must pay an annual fee of 12 TL for each member who has the right to attend the federation's general assembly.
Books and Records
Article 24- Books and Records
Bookkeeping principles;
In the Federation, books are kept on the basis of the operating account. However, if the annual gross income exceeds the limit specified in Article 31 of the Associations Regulation, a book is kept on the basis of the balance sheet starting from the following accounting period.
In case of switching to the balance sheet principle, if the limit is lowered below the above-mentioned limit in two consecutive accounting periods, it can be returned to the operating account principle as of the following year.
Regardless of the limit stated above, books can be kept on the basis of the balance sheet with the decision of the board of directors.
In case of opening a commercial enterprise of the Federation, a book is also kept for this commercial enterprise in accordance with the provisions of the Tax Procedure Law.
Registration Procedure
Federation books and records are kept in accordance with the procedures and principles specified in the Associations Regulation.
Books to Keep
The following books are kept in the Federation.
a) The books to be kept on the basis of the operating account and the principles to be followed are as follows:
1-Decision Book: The decisions of the board of directors are written in this book in order of date and number, and six of the decisions are signed by the members attending the meeting.
2-Member Registry Book: Identity information, entry and exit dates of those who enter the federation as a member are recorded in this book. Entry and annual dues paid by members can be recorded in this book.
3- Document Registry Book: Incoming and outgoing documents are recorded in this book with date and sequence number. The original copies of incoming documents and outgoing documents are filed. Incoming or outgoing documents via e-mail are stored by printing.
4-Business Account Book: Income received and expenses incurred on behalf of the Federation are clearly and regularly recorded in this book.
b) The books to be kept on the basis of the balance sheet and the principles to be followed are as follows:
The books recorded in the 1st, 2nd and 3rd sub-clauses of the 1-(a) clause are also kept in the case of keeping a book on the basis of the balance sheet.
2-Journal Book and General Ledger: The method of keeping and recording these books is made in accordance with the Tax Procedure Law and the Accounting System Implementation General Communiqués published pursuant to the authority granted by this Law to the Ministry of Finance.
Federation Income and Expense Transactions
Article 25- Income and expense documents;
Federation revenues are collected with a "Receipt Certificate". In case the federation revenues are collected through banks, documents such as receipts or account statements issued by the bank replace the receipt document.
Federation expenses are invoice, retail sales receipt, seIt is done with expenditure documents such as a self-employment receipt. However, for the payments of the federation within the scope of Article 94 of the Income Tax Law, an expense note is issued in accordance with the provisions of the Tax Procedure Law, and an "Expense Receipt" is issued for the payments not included in this scope.
Deliveries of free goods and services to individuals, institutions or organizations by the Federation are made with "In-Kind Aid Delivery Document". Free goods and service deliveries to be made to the federation by individuals, institutions or organizations are accepted with an "In-Kind Donation Receipt".
Receipt Documents
Article 26- The "Receipt Documents" to be used in the collection of the Federation revenues are printed in the printing house with the decision of the board of directors.
The relevant provisions of the Associations Regulation shall be followed in the matters related to the printing and control of the receipt documents, their receipt from the printing house, their recording in the book, the handover between the old and new treasurers, and the use of these receipts by the person or persons who will collect the revenue on behalf of the federation and the delivery of the collected revenues. .
Licence of authorization
Article 27- Except for the original members of the board of directors, the person or persons who will collect income on behalf of the federation are determined by the decision of the board of directors, including the term of authorization. The "Certificate of Authorization" containing the clear identity, signature and photographs of the persons who will collect income (included in Annex-19 of the Associations Regulation) is prepared in two copies by the federation and approved by the chairman of the federation's board of directors. The principal members of the board of directors can collect income without a certificate of authorization.
The duration of the authorization certificates is determined by the board of directors as a maximum of one year. Expired authorization certificates are renewed according to the first paragraph. In cases such as the expiration of the authorization certificate or the resignation, death, termination of his job or duty of the person on whose behalf the authorization certificate has been issued, it is obligatory to submit the authorization certificates to the federation board of directors within one week. In addition, the authority to collect revenue can be revoked at any time by the decision of the board of directors.
Retention Period of Income and Expense Documents;
Article 28- With the exception of the books, receipts, expenditure documents and other documents used by the Federation are kept for 5 years in accordance with the number and date order in the books in which they are recorded, without prejudice to the periods specified in special laws.
Submitting a Declaration
Article 29- The Federation's "Federation Statement" regarding the activities of the previous year and the results of income and expense transactions by the end of the year is filled by the Federation's board of directors and given to the local administrative authority by the president of the association within the first four months of each calendar year.
Notification Obligation
Article 30- Notifications to be made to the local authority;
General Assembly Result Notification
Within thirty days following the ordinary or extraordinary general assembly meetings, the General Assembly Result Notification (included in Annex-3 of the Associations Regulation) is given to the local authority, which includes the principal and alternate members elected to the board of directors and supervisory boards and other bodies. In case of a bylaw change at the general assembly meeting; The minutes of the general assembly meeting, the old and new versions of the changed articles of the bylaw, the final form of the federation charter, each page of which is signed by the absolute majority of the members of the board of directors, are submitted to the local authority within the period specified in this paragraph.
Notification of Immovables
Article 31- The immovables acquired by the Federation are notified to the local authority by filling out the "Immovable Property Statement" within thirty days from their registration to the land registry.
Notification of Receiving Assistance from Abroad
Article 32- In case of receiving assistance from abroad, the Federation fills out the "Notification of Receiving Assistance from Abroad" (specified in Annex-4 of the Associations Regulation) and notifies the local authority before receiving assistance.
It is obligatory to receive cash aids through banks and to fulfill the notification requirement before they are used.
Notification on Joint Projects with Public Institutions and Organizations
Article 33- The protocol and the sample of the project regarding the joint projects carried out with the public institutions and organizations in the matters related to the federation's field of duty are attached to the "Project Notice" and given to the governor of the place where the federation headquarters is located, within one month following the protocol date.
Notification of Changes
Article 34- Change in the Federation place of residence “Residential Change Notification”; Changes in the federation bodies outside the general assembly meeting are notified to the local authority within thirty days following the change, by filling out the "Notification of Changes in Federation Bodies".
Changes made in the federation statute are also notified to the local authority in the annex of the general assembly result notification within thirty days following the general assembly meeting where the bylaws are changed.
Federation Expenditures
Article 35- All expenditures of the Federationmade by resolution of the board of directors. However, in urgent cases, the chairman may automatically make the expenditures to be determined in advance by the board of directors. Expenditures made in this way are decided at the first board meeting. The funds of the Federation are stored in national banks in accounts to be opened in the name of the Federation. Withdrawing money from this account or sending money somewhere is possible with the double signature of the chairman or vice chairman and the counting.
Persons authorized to collect income on behalf of the Federation deliver the money they collect to the treasurer of the association within thirty days or deposit them into the bank account of the association. However, those whose collection exceeds the amount specified in the Associations Legislation, without waiting for the thirty-day period, deliver the collected money to the federation treasurer within two working days at the latest or deposit it into the federation's bank account.
The amount of money that can be kept in the Federation's safe is determined by the board of directors, taking into account the needs.
Types of Internal Audit of the Federation
Article 36- Internal audit is essential in the Federation. Internal audits can be conducted by the general assembly, the board of directors or the supervisory board, as well as by independent audit firms. The fact that an audit has been carried out by the general assembly, the board of directors or independent audit firms does not remove the obligation of the audit board.
supervisory board; Inspects whether the federation operates in line with the purpose and scope of work stated in its statute, whether the books, accounts and records are kept in accordance with the legislation and the federation statute, in accordance with the principles and procedures determined in the federation statute and at intervals not exceeding one year. It presents the audit results in a report to the board of directors and to the general assembly when convened.
Upon the request of the members of the supervisory board, it is obligatory to show or give all kinds of information, documents and records by the federation officials, and to fulfill the request to enter the management places, establishments and annexes.
How to Amend the Bylaw
Article 37- Bylaws can be changed with the decision of the general assembly.
2/3 majority of the members who have the right to join the federation is required in order to amend the bylaws in the general assembly. In case the meeting is postponed due to lack of majority, majority is not sought in the second meeting. However, the number of members attending this meeting cannot be less than the full number of members of the board of directors and supervisory board.
The majority of the decisions required for the bylaws change is 2/3 of the votes of the delegates who attended the meeting and have the right to vote. In the general assembly, the vote on the amendments to the bylaws is made openly.
Form of Liquidation of Assets in case of Dissolution of the Federation
Article 38-Federation General Assembly can always decide to dissolve the federation. In order for the general assembly to decide on the dissolution of the federation, at least two-thirds of the members who have the right to join the federation according to the statute must be present at the meeting. If this majority is not achieved at the first meeting, the members are invited to the second meeting. The number of members attending the second meeting cannot be less than twice the total number of members of the board of directors and supervisory board. It is obligatory to make the decision regarding the termination with a two-thirds majority of the members present at the meeting. The termination of the federation is notified in writing to the highest civilian authority of the locality by the board of directors. With the termination decision, the assets of the federation are liquidated in line with the decision to be taken by the general assembly.
Liquidation Procedures
When the termination decision is made by the general assembly, the liquidation of the money, property and rights of the federation is made by the liquidation board, which consists of the members of the last board of directors. These transactions start from the date of the general assembly decision regarding the termination or the date when the automatic termination becomes final. During the liquidation period, the phrase "Software Developers Federation in Liquidation" is used in the name of the federation.
The liquidation board is in charge and authorized to complete the liquidation of the money, property and rights of the federation from beginning to end in accordance with the legislation. This board first examines the accounts of the federation. During the examination, the books, receipts, expenditure documents, title deed and bank records and other documents belonging to the federation are determined and their assets and liabilities are recorded in a report. During the liquidation proceedings, the creditors of the federation are called and their goods, if any, are converted into cash and paid to the creditors. In case the federation is a creditor, the receivables are collected. All money, property and rights remaining after the collection of receivables and payment of debts are transferred to the place determined in the general assembly. If the place to be transferred is not determined in the general assembly, it is equally transferred to the member associations registered to the federation.
All transactions regarding liquidation are shown in the liquidation report and the liquidation transactions are completed within three months, except for the additional periods given by the local authorities based on a justified reason.
Liquidation and transfer of the money, property and rights of the Federation Following the completion of the proceedings, the liquidation board must notify the local authority of the federation center in a letter within seven days, and the liquidation report must be attached to this letter.
The last members of the board of directors, as the liquidation board, are responsible for keeping the books and documents of the federation. This duty can be conferred to a board of member too. These books and records must be kept for five years.
Lack of Provision
Article 39- In matters not specified in this statute, the Associations Law, Turkish Civil Code and the Associations Regulation issued with reference to these Laws and the provisions of other relevant legislation on associations shall apply.
